What is the Nevada LLC annual report?

Nevada requires the Annual List + Business License every year. The Nevada LLC annual report fee pays the Nevada Secretary of State to update your addresses, registered agent, and managers.

It is not a federal tax return, and it is not a city or county business license.

    Who must file in Nevada?

    • LLCs formed in Nevada
    • LLCs formed elsewhere and registered to do business in Nevada

You still file if nothing changed since the last report.

How to file your Nevada LLC annual report

    1. 1

      Confirm you must file

      • LLCs formed in Nevada, and LLCs registered to do business there, both file.
      • You still file if nothing changed.
    2. 2

      Gather the details

Have your file number, legal name, addresses, registered agent, and managers or members ready.

    3. 3

      Confirm your Nevada registered agent

      • The report must list a registered agent with a street address in Nevada.
      • If your agent resigned, appoint a new one before you file.
      • A resigned agent is the usual reason a report is rejected.
    4. 4

      File and pay

      • Submit the Annual List + Business License to the Nevada Secretary of State.
      • Pay $350.
      • ClearFormation pre-fills the report and files after you approve.
    5. 5

      Save the confirmation

      • Download the receipt and confirmation number.
      • Banks and other states may ask for it.

What happens if you miss it

Missing the deadline can add a late penalty on top of the report fee. The Nevada Secretary of State can also mark the LLC not in good standing, and after enough missed reports it can dissolve the company.

Banks and other states can refuse to work with an LLC that is not in good standing.

    After you file

Save the confirmation the day you file. Banks and other states may ask for it.

If someone needs official proof, order a certificate of good standing from Nevada while the record is current.

The next report is due on the same date next year. Keep your Nevada registered agent active so state mail still reaches you.
