A person or company with a street address in the state, named to accept lawsuits, tax notices, and state letters for the LLC or corporation.
02 · Why it is required
The state will not file without one
Every state mandates a registered agent on the formation documents, available at that address during business hours. A blank field gets the filing rejected.
03 · If you drop it
The company can be dissolved
The state can fine you, take away good standing, or dissolve the company. A lawsuit nobody accepts can also become a default judgment.

What the form does not spell out.
- You can name yourself
- Most states allow it if you have a street address in that state and you are there during business hours. A P.O. box does not qualify. Living in another state, or traveling often, fails the test.
- Each state wants its own
- The agent on the formation filing covers that state only. Register to do business in a second state and that state requires its own agent.
- “Resident agent” is the same role
- Kansas, Maryland, Michigan, Rhode Island, and Massachusetts LLCs print that label on the form. The duty is the same.
- Accepting mail is not legal advice
- Lawsuits and state letters are scanned into your account. Answering the lawsuit, or advising you on it, is outside the service.
