What is the Oregon LLC annual report?
Oregon requires the Annual Report every year. The Oregon LLC annual report fee pays the Oregon Secretary of State to update your addresses, registered agent, and managers.
It is not a federal tax return, and it is not a city or county business license.
Oregon also has a separate tax obligation (Corporate Activity Tax may apply). That is not part of this report. An accountant or tax software handles it.
Who must file in Oregon?
- LLCs formed in Oregon
- LLCs formed elsewhere and registered to do business in Oregon
You still file if nothing changed since the last report.

We track the due date, pre-fill the report, and file after you approve.
What happens if you miss it
Missing the deadline can add a late penalty on top of the report fee. The Oregon Secretary of State can also mark the LLC not in good standing, and after enough missed reports it can dissolve the company.
Banks and other states can refuse to work with an LLC that is not in good standing.
After you file
Save the confirmation the day you file. Banks and other states may ask for it.
If someone needs official proof, order a certificate of good standing from Oregon while the record is current.
The next report is due on the same date next year. Keep your Oregon registered agent active so state mail still reaches you.
