What is the Pennsylvania LLC annual report?
Pennsylvania requires the Annual report every year. The Pennsylvania LLC annual report updates your addresses, registered agent, and managers with the Pennsylvania Department of State.
It is not a federal tax return, and it is not a city or county business license.
Pennsylvania also has a separate tax obligation (None for LLCs). That is not part of this report. An accountant or tax software handles it.
Who must file in Pennsylvania?
- LLCs formed in Pennsylvania
- LLCs formed elsewhere and registered to do business in Pennsylvania
You still file if nothing changed since the last report.

We track the due date, pre-fill the report, and file after you approve.
What happens if you miss it
Missing the deadline can add a late penalty on top of the report fee. The Pennsylvania Department of State can also mark the LLC not in good standing, and after enough missed reports it can dissolve the company.
Banks and other states can refuse to work with an LLC that is not in good standing.
After you file
Save the confirmation the day you file. Banks and other states may ask for it.
If someone needs official proof, order a certificate of good standing from Pennsylvania while the record is current.
The next report is due on the same date next year. Keep your Pennsylvania registered agent active so state mail still reaches you.
