What is the Tennessee LLC annual report?

Tennessee requires the Annual Report every year. Tennessee annual report filing updates your addresses, registered agent, and managers with the Tennessee Secretary of State.

It is not a federal tax return, and it is not a city or county business license.

Tennessee also has a separate tax obligation (Franchise and Excise Tax applies). That is not part of this report. An accountant or tax software handles it.

    Who must file in Tennessee?

    • LLCs formed in Tennessee
    • LLCs formed elsewhere and registered to do business in Tennessee

You still file if nothing changed since the last report.

How to file your Tennessee LLC annual report

    1. 1

      Confirm you must file

      • LLCs formed in Tennessee, and LLCs registered to do business there, both file.
      • You still file if nothing changed.
    2. 2

      Gather the details

Have your file number, legal name, addresses, registered agent, and managers or members ready.

    3. 3

      Confirm your Tennessee registered agent

      • The report must list a registered agent with a street address in Tennessee.
      • If your agent resigned, appoint a new one before you file.
      • A resigned agent is the usual reason a report is rejected.
    4. 4

      File and pay

      • Submit the Annual Report to the Tennessee Secretary of State.
      • Pay $300 minimum.
      • ClearFormation pre-fills the report and files after you approve.
    5. 5

      Save the confirmation

      • Download the receipt and confirmation number.
      • Banks and other states may ask for it.

We track the due date, pre-fill the report, and file after you approve.

What happens if you miss it

Missing the deadline can add a late penalty on top of the report fee. The Tennessee Secretary of State can also mark the LLC not in good standing, and after enough missed reports it can dissolve the company.

Banks and other states can refuse to work with an LLC that is not in good standing.

    After you file

Save the confirmation the day you file. Banks and other states may ask for it.

If someone needs official proof, order a certificate of good standing from Tennessee while the record is current.

The next report is due on the same date next year. Keep your Tennessee registered agent active so state mail still reaches you.
